[Section 3.4] of the Plan is amended to add the following sentence to the end thereof:

[Section 3.1] of the Construction Agency Agreement is hereby amended by deleting [clause (c)] in its entirety and substituting the following therefor:

[Section 3.a]. is amended in its entirety to read as follows:

[Section 3.3] of the Agreement is amended to read in its entirety as follows:

[Section 3.7(c)] is amended and restated to read in its entirety as follows:

[Section 3.3(e)] of the Plan is deleted in its entirely and replaced with the following:

[Section 3.1(e)] shall be amended to provide as follows:

[Section 3.02] is amended to an incentive plan target annual payout based on “Eighty Percent (80%)” which amount is applicable to the entirety of 2023 and going forward unless otherwise amended.

[Section 3.02] is amended by deleting the phrase “Eurocurrency Rate Loans” and substituting therefor the phrase “Eurocurrency Rate Loans or Sterling-denominated Floating Rate Loans”.

[Section 3.6] of the Collateral Agreement is amended to delete the phrase “Company Obligations or the Company’s Guarantor” appearing therein.
